10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. However, nothing in this section shall prevent you from asserting rights under the laws of your home jurisdiction, where such rights cannot be waived under applicable law. Any dispute, controversy, or claim arising out of or relating to these Terms or the Site/Services shall first be resolved through good-faith negotiation between you and us. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to arbitration in accordance with the rules of the International Chamber of Commerce (ICC), to be conducted in English in London, United Kingdom. The arbitral award shall be final and binding on both parties, and may be enforced in any court of competent jurisdiction.
11. Termination
We reserve the right to terminate or suspend your access to the Site or Services, without prior notice or liability, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent or harmful conduct, or for any other reason we deem necessary.
